1. Parties protected by this agreement
This agreement protects, equally and jointly:
- Shi Digital Marketing and its owner Solome Baraki
- Eternal Beauty Inc. and its owner Barbara McBean
Throughout this document, "we" refers to both companies and both owners collectively.
2. What we are NOT liable for
To the fullest extent permitted by law, we are not liable for:
- Loss of business, revenue, profits, savings, goodwill, or data
- Third-party service outages — including but not limited to web hosting providers, Stripe, domain registrars, email providers, Google, Meta (Instagram/Facebook), or any other social platform
- Delays caused by the client — including delays in providing materials, content, feedback, payments, or approvals
- Marketing, SEO, and AI outcomes — no guarantee of search rankings, traffic, leads, bookings, or sales is made or implied
- Content the client provides — the client warrants that they own or have full rights to use all content (text, images, video, music, logos, trademarks) supplied to us
- Indirect, incidental, consequential, special, or punitive damages of any kind
- Acts of God, force majeure, or events outside our reasonable control
3. Limitation of liability
Our total combined liability to the client under any theory of law — contract, tort, negligence, or otherwise — is capped at the total amount the client has actually paid to Shi Digital Marketing in the twelve (12) months preceding the event giving rise to the claim. Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability — in those jurisdictions, our liability is limited to the maximum extent permitted by law.
4. Indemnification
The client agrees to indemnify, defend, and hold harmless Shi Digital Marketing, Eternal Beauty Inc., Solome Baraki, and Barbara McBean, and each of their respective employees, contractors, and agents, from any claims, damages, losses, liabilities, costs, or expenses (including reasonable legal fees) arising out of or related to:
- The client's content, images, copy, trademarks, or other materials provided to us
- The client's conduct or use of the services
- The client's violation of any law or third-party right
- The client's breach of the Terms of Service or this Liability Agreement
5. Mutual protection
Shi Digital Marketing and Eternal Beauty Inc. are equally and jointly protected under this agreement. Any claim made against one is treated, for the purposes of this agreement, as a claim against both, and both benefit from the limitations and indemnities described above.
6. Disclaimer of warranties
Services are provided "as-is" and "as-available", with no warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement, except where such warranties cannot legally be disclaimed.
7. Governing law & jurisdiction
This agreement is governed by the laws of the Province of Alberta, Canada. Any dispute will be resolved in the courts of Alberta.
8. Severability
If any clause of this agreement is found unenforceable, that clause will be modified to the minimum extent necessary, and the remainder of the agreement will remain in full force and effect.
9. Acceptance
By checking the agreement box at checkout and completing payment, the client confirms they have read, understood, and agreed to this Liability & Service Agreement together with the Privacy Policy and Terms of Service.
